Bridging Business Platform
These Terms and Conditions (“Terms”) govern the access to and use of the Bridging Business platform and services operated by Avyra Group Pte Ltd (UEN: [Insert]), a company incorporated in Singapore (“Company”, “Bridging Business”, “we”, “us”, or “our”).
By accessing or using the platform, you agree to comply with these Terms.
1. PLATFORM DESCRIPTION
Bridging Business operates a digital marketplace and advisory platform designed to facilitate introductions between parties interested in buying, selling, investing in, or partnering with small and medium-sized enterprises (SMEs).
The platform may include:
• Business listings
• Buyer and seller profiles
• Messaging and introduction services
• Due diligence tools
• Advisory or brokerage support
Bridging Business does not guarantee the completion of any transaction.
We act primarily as an intermediary marketplace, and transactions occur directly between users unless otherwise agreed under a separate engagement agreement.
2. ELIGIBILITY
By using the platform, you confirm that:
• You are at least 18 years old
• You have legal authority to represent any business or entity you list
• All information provided is accurate and not misleading
• Your activities comply with all applicable laws
We reserve the right to reject or remove users or listings at our sole discretion.
3. USER ACCOUNTS
Users may be required to register an account.
Users agree to:
• Maintain confidentiality of account credentials
• Provide truthful information
• Notify us immediately if unauthorized use occurs
Bridging Business is not responsible for losses resulting from compromised user accounts.
4. BUSINESS LISTINGS
Users submitting listings represent and warrant that:
• They are the legal owner or authorized representative of the business
• Information provided is accurate and not materially misleading
• Financial and operational information is provided in good faith
Bridging Business does not independently verify all listing information and makes no representation regarding its accuracy.
We reserve the right to:
• Edit listing formatting
• Remove listings that violate policies
• Suspend accounts suspected of fraudulent activity.
5. ROLE OF THE PLATFORM
Bridging Business provides a facilitation service only.
We do not:
• Act as a broker unless a separate agreement exists
• Provide legal, tax, or investment advice
• Guarantee the financial performance of any business
• Guarantee that a transaction will occur
Users should seek independent professional advice before entering into transactions.
6. FEES AND COMMISSIONS
The platform may charge fees including but not limited to:
• Listing fees
• Featured listing fees
• Buyer subscription or premium access fees
• Success fees or brokerage commissions where applicable
Fees will be disclosed on the platform or under separate agreements.
All fees are non-refundable unless required by law.
7. CONFIDENTIALITY
Users agree to treat confidential information received from other users as strictly confidential.
This includes:
• Business financials
• Customer lists
• Supplier information
• Trade secrets
Users must not disclose such information without permission.
Bridging Business is not responsible for breaches of confidentiality between users.
8. INTELLECTUAL PROPERTY
All platform content including:
• Software
• Branding
• Logos
• Website design
• Databases
are owned by Bridging Business or licensed to us.
Users may not:
• Copy
• Reproduce
• Scrape data
• Resell listings
• Reverse engineer the platform
without prior written consent.
9. PROHIBITED ACTIVITIES
Users must not:
• Post fraudulent listings
• Misrepresent business performance
• Use the platform for illegal activities
• Attempt to bypass platform protections
• Harvest user data
• Spam or solicit users without consent
Violation may result in immediate termination of access.
10. NO WARRANTY
The platform is provided “as is” and “as available.”
Bridging Business makes no warranties, express or implied, regarding:
• Accuracy of listings
• Success of transactions
• Suitability of any investment
• Continuous platform availability
11. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
Bridging Business shall not be liable for:
• Loss of profits
• Business interruption
• Investment losses
• Misrepresentation by sellers or buyers
• Failed transactions
Total liability shall not exceed the total fees paid by the user to Bridging Business in the preceding 12 months.
12. INDEMNITY
Users agree to indemnify and hold harmless Bridging Business and its directors, employees, and affiliates against claims arising from:
• Misrepresentation in listings
• Breach of these Terms
• Violations of law
• Disputes between buyers and sellers
13. THIRD-PARTY SERVICES
The platform may integrate third-party services including:
• Payment processors
• Data room providers
• Legal or valuation partners
Bridging Business is not responsible for third-party services or their actions.
14. TERMINATION
We reserve the right to:
• Suspend or terminate user accounts
• Remove listings
• Restrict access
for violations of these Terms or for any reason deemed necessary to protect the platform.
15. GOVERNING LAW
These Terms are governed by the laws of Singapore.
Any dispute shall be subject to the exclusive jurisdiction of the courts of Singapore.
16. MODIFICATIONS
Bridging Business may update these Terms at any time.
Continued use of the platform after updates constitutes acceptance of revised Terms.
